1. Services

Veelay Global Technologies LLC (“Veelay,” “we,” or “us”) provides custom software development services including web application development, mobile application development, backend and API development, and AI development and integration. The specific scope, timeline, and deliverables for each engagement are defined in a written proposal or statement of work agreed upon by both parties before work begins.

We reserve the right to decline any project at our discretion. Submitting a contact form or inquiry does not constitute a binding agreement.

2. Payment Terms

Payment terms are specified in each project proposal. General terms include:

• Fixed-scope projects typically require a deposit before work begins, with the remaining balance due upon delivery or at agreed milestones.
• Hourly engagements are invoiced weekly or bi-weekly, with payment due within 14 days of invoice.
• Dedicated resource arrangements are invoiced monthly, with payment due at the start of each billing period.

Late payments may result in work being paused until the outstanding balance is settled. We reserve the right to charge a late fee of 1.5% per month on balances unpaid after 30 days.

3. Intellectual Property

Upon receipt of full payment for a project, all custom work product created specifically for the client — including source code, designs, and documentation — becomes the sole property of the client.

Veelay retains ownership of any pre-existing tools, frameworks, libraries, or methodologies used in the development process. Nothing in these terms transfers ownership of third-party software, open-source components, or Veelay's internal tooling to the client.

Until full payment is received, Veelay retains all rights to the work product. Partial payment does not convey any ownership rights.

4. Confidentiality

Both parties agree to treat as confidential any non-public information disclosed during the course of an engagement. Veelay will not disclose your business information, technical requirements, or project details to any third party without your consent, except as required by law.

We may reference your company name and a general description of the project category in our portfolio unless you request otherwise in writing.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Veelay Global Technologies LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the services provided, including but not limited to lost profits, loss of data, or business interruption.

Our total liability for any claim arising under these terms shall not exceed the total amount paid by the client to Veelay in the three months preceding the claim.

6. Warranties and Representations

We warrant that services will be performed in a professional manner consistent with industry standards. We do not warrant that software will be entirely free of defects. Where defects in our delivered work are identified within 30 days of delivery, we will make reasonable efforts to correct them at no additional charge.

We make no warranties regarding third-party services, APIs, or platforms integrated as part of any project.

7. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts of Maryland.

8. Changes to These Terms

We may update these Terms of Service from time to time. Any changes will be posted on this page with an updated effective date. Continued use of our services after changes are posted constitutes your acceptance of the updated terms.
